End User License Agreement
Last updated: 2 October 2026
This EULA is a binding agreement between you, the user, and Sandwich Vision Inc., a Delaware corporation (“Sandwich”, “our”, “us”, or “we”), and governs your use of Sandwich’s Television or Theater applications available on Apple Vision Pro, Meta Quest, Android XR, and other devices supported by Sandwich from time to time, and of the in.theater website and its related online services, including purchases and Theater Account features offered there (each, an “App” and collectively, the “Apps”).
1. Acceptance
By clicking the “Agree,” “Continue,” or similar button presented with this EULA, or by creating a Theater Account or making a purchase on the in.theater website, you (a) acknowledge that you have read and understand this EULA and Sandwich’s Privacy Policy; (b) agree that you are legally bound by the terms of this EULA; and (c) represent that you are an individual and not a legal entity, that you are at least 13 years old, and that, if you are under 18 (or the age of majority where you live), your parent or legal guardian has reviewed and agrees to this EULA on his or her own behalf and on your behalf and is granting you permission to use the Apps. If you are under 18, you may make purchases only with the involvement of your parent or legal guardian. If you do not agree to this EULA, do not download, install, or use either App, and delete all Apps from all devices under your possession or control.
2. Accounts; Responsibility for Use of Apps
- You will need an account with the provider of your Device’s platform or app store (for example, Apple, Meta, or Google) (a “Platform Account”) and a compatible Device running a supported software version as a condition to using the Apps. Your Platform Account and your use of your Device are governed by the terms of use established by the applicable platform provider.
- Certain features, including purchases made directly through Sandwich and access to Paid Content across multiple Devices or platforms, require you to create an account with Sandwich (a “Theater Account”). You agree to provide current, complete, and accurate information when creating your Theater Account and to keep it up to date. You are responsible for keeping your Platform Account and Theater Account credentials confidential and for all activity that occurs on the Apps under either account, and you may not share your credentials with any third party. If you become aware of any unauthorized access to or use of your Theater Account, you agree to notify us immediately at support@in.theater. For any unauthorized access to your Platform Account, you should contact the applicable platform provider.
3. License Grant
- Subject to and conditioned upon your strict compliance with all terms of this EULA, Sandwich grants you an individual, worldwide (subject to applicable law), limited, revocable, non-exclusive, non-assignable, and non-transferable license during the Term to download, install, and use the free version of the Apps for your personal, non-commercial use on one or more devices owned or otherwise controlled by you (“Device”). Sandwich may revoke this license as described in the Term and Termination section.
- Some features of one or both Apps may only be available to users who purchase an unlocked version of the App(s). Subject to and conditioned upon your timely payment of all applicable fees communicated to you when you purchase an unlocked version of the App(s) (the “Fees”), Sandwich grants you an individual, worldwide (subject to applicable law), limited, revocable, non-exclusive, non-assignable, and non-transferable license during the Term to download, install, and use the unlocked version of the applicable App for your personal, non-commercial use on one or more Devices. Sandwich may revoke this license as described in the Term and Termination section.
- Sandwich may make some content in the App(s) available free of charge. Other content (“Paid Content”) may be available only for a fee, either as a rental (a “Rental”) or as a purchase (a “Purchase”) (such fees, “Content Fees”). The terms of each Rental or Purchase, including any viewing period, are communicated to you at the point of sale (“Transaction Terms”) and form part of this EULA. Unless the Transaction Terms state otherwise: (i) a Rental gives you access to the applicable Paid Content for the viewing period stated at the point of sale; and (ii) a Purchase gives you a license to access the applicable Paid Content for as long as Sandwich has the right to make that Paid Content available in the App(s). A Purchase is a license to access Paid Content within the App(s) and does not transfer to you ownership of, or any other rights in, the Paid Content.
- Purchases Are Licenses. When you pay for a Purchase, you are buying a license to access and watch that Paid Content within the App(s). You are not buying the Paid Content itself, and you do not own it. Your license is personal, non-exclusive, and non-transferable. Paid Content may become unavailable if Sandwich’s rights to it end, if its owner removes it, or if Sandwich discontinues the App(s). If Paid Content you purchased becomes permanently unavailable before you have had a reasonable opportunity to watch it, you may request a refund or credit as described in the Term and Termination section. Before you pay, the App(s) will tell you that you are getting a license rather than ownership and will link to this EULA.
- All content made available through the App(s), including Paid Content, may be accessed and viewed only within the App(s). No such content may be viewed, played, exported, or otherwise used outside of the App(s) in any manner.
- Fees and Content Fees may be processed by the app store for your Device (for example, Apple’s App Store or the Meta Horizon Store) or directly by Sandwich through its third-party payment processor. Transactions processed by an app store are also subject to that app store’s terms, including its refund policies. Purchases made directly through Sandwich are associated with your Theater Account and may be accessed on any supported Device on which you sign in to that Theater Account.
4. Reservation of Rights
You acknowledge and agree that the Apps and any content available through them are provided under license, and not sold, to you. You do not acquire any ownership interest in the Apps or any content available thereunder under this EULA or otherwise, or any other rights thereto other than to use the Apps in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this EULA. Sandwich and its licensors reserve and shall retain their entire right, title, and interest in and to the Apps and all content available thereunder, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto.
5. License Restrictions
- You agree that you will not copy, reproduce, distribute, modify, adapt, translate, create derivative works of or improvements to, publicly display, publicly perform, republish, download, store, or transmit any of the material made available to you through the Apps, except as follows: (i) your Device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; (ii) you may store files that are automatically cached by your Device for display enhancement purposes; and (iii) if we provide social media features with certain content, you may take such actions as are enabled by such features.
- You further agree that you will not (i) modify copies of any materials made available through the App; (ii) use any illustrations, photographs, video or audio sequences, or any graphics available in the Apps separately from the accompanying text; (iii) remove, delete, alter, or obscure any copyright, trademark, or other proprietary rights notices from copies of materials made available through the Apps; (iv) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of any part of the Apps; (v) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available any part of the Apps, or any features or functionality thereof, to any third party for any reason, including without limitation by making any part of the Apps available on a network where it is capable of being accessed by more than one device at any time; (vi) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting any part of the Apps, including without limitation Apple’s FairPlay DRM; or (vii) harvest, collect, or store information about Sandwich’s users or use such information for any purpose.
6. Prohibited Uses
- You may use the Apps only for lawful purposes and in accordance with this EULA. Without limiting the foregoing, you agree not to use the Apps: (i) in any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); (ii) for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, or otherwise; or (iii) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Apps, or which, as determined by us, may harm Sandwich or users of the Apps , or expose them to liability.
- Additionally, you agree not to: (i) engage in any conduct that could restrict, inhibit, disable, overburden, damage, or otherwise impair the Apps or interfere with any other party’s use of the Apps, regardless of intent, purpose, or knowledge; (ii) use any manual or automated software, device, script, robot, spider, or other automatic device, process, or means, to access, “scrape,” “crawl,” or “spider” the Apps for any purpose, including monitoring or copying any of the material on the Apps; (iii) use any device, software, or routine that interferes with the proper working of the Apps; (iv) transmit or distribute material that may be harmful to or interfere with any part of the Apps or any third-party’s networks, systems, services, or websites (such prohibited harmful content includes, but is not limited to, viruses, worms, or Trojan horses, or any other computer code, files, or programs designed to interrupt, destroy, overburden, or limit the functionality of any computer software or hardware or telecommunications equipment); (v) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Apps, any server on which the Apps are stored or hosted, or any server, computer, or database connected to any of the Apps; (vi) attack the Apps via a denial-of-service attack or a distributed denial-of-service attack; (vii) use any part of the Apps for purposes of competitive analysis thereof, the development of a competing product or service, or any other purpose that is to Sandwich’s commercial disadvantage; (viii) use any part of the Apps in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including without limitation any systems designed to circumvent any security features of or to gain unauthorized access to any computer system or any restricted information; or (ix) otherwise attempt to interfere with the proper working of the Apps.
7. Health and Safety
Using a headset can cause motion sickness, eye strain, disorientation, and, in rare cases, seizures, and it can make you less aware of your surroundings. Read and follow your Device manufacturer’s health and safety warnings and age guidance, use the Apps only in a safe, clear space, take regular breaks, and stop immediately if you feel unwell. A parent or guardian should supervise any minor’s use of the Apps.
8. Your Content
The Apps may allow you to play back, connect to, or share video and other content that you provide, including content stored on your Device or accessed through third-party media services you connect to the Apps (“Your Content”). You retain all rights you have in Your Content. You are solely responsible for Your Content and represent and warrant that you own or have all rights necessary to use Your Content in the Apps, and that Your Content and your use of it do not infringe or violate any third party’s rights or any applicable law. Sandwich may disable access to any of Your Content through the Apps at any time and for any reason. Content that creators make available for distribution to other users of the Apps is governed by separate agreements between Sandwich and those creators.
9. Third-Party Materials
The Apps may display, include, or make available third-party content (including television, films, events, and data, information, applications, and other products, services, and/or materials) or provide links to or integrations with third-party websites or services (including media services you connect to the Apps) (“Third-Party Materials”). You acknowledge and agree that Sandwich is not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. Sandwich does not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Materials. Third-Party Materials and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties’ terms and conditions.
10. Availability of App(s); Refunds and Limitations
- Sandwich reserves the right to change, suspend, remove, or disable access to either or both Apps or any feature thereof at any time; if Sandwich permanently discontinues either App, the Term and Termination section applies. If you have paid Fees for an unlocked version of the App(s) that were charged on a time-limited basis (e.g., Fees for usage on a monthly or annual basis) and Sandwich disables your access to the App(s) as a whole, other than for your violation of this EULA, Sandwich will issue you a pro-rated refund of such Fees for the applicable App(s) based on the time remaining in your subscription period. For the avoidance of doubt, except as described in the Term and Termination section, you will not be entitled to any refund: (i) if Sandwich changes, suspends, removes, or disables access to one or more features of the App(s) or content thereon, (ii) if the Fees paid did not relate to a specific period of time, or (iii) otherwise. If Sandwich removes any Paid Content for which you have paid a Content Fee for a Rental, and you have not begun viewing such Paid Content, Sandwich will refund the applicable Content Fee, provided that no refund will be made on or after the 60th day following the date you paid such Content Fee. No refund will be issued once you begin viewing a Rental, even if you are unable to complete viewing it within the viewing period. Purchased Paid Content may become unavailable if Sandwich’s rights to distribute it end or for other reasons outside Sandwich’s control; if that happens before you have had a reasonable opportunity to watch it, the Term and Termination section applies. Notwithstanding any of the foregoing to the contrary, no refunds will be due with respect to any live event or as otherwise expressly provided in any Transaction Terms. Refunds for transactions processed by an app store are subject to that app store’s refund policies.
- Sandwich will not be liable for any removal or disabling of access to any portion of either App, including but not limited to any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, user communications. Sandwich is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, or failure of email on account of technical problems or traffic congestion on the internet or on the applicable App or combination thereof, including without limitation injury or damage to any Device or other hardware or software related to or resulting from using or downloading materials in connection with the Apps.
- You are responsible for the internet connection and/or mobile charges that you may incur for accessing and/or using the Apps.
- Sandwich cannot and does not make any representation, warranty, or guarantee about the quality of any video or other content made available through the Apps. Without limiting the generality of the foregoing, video quality is dependent on a number of factors outside of Sandwich’s control including internet connection and speed and device specifications.
- There may be times when the Apps or a part thereof are not available for technical or maintenance related reasons, whether on a scheduled or unscheduled basis.
11. Updates
Sandwich may from time to time in its sole discretion develop and provide updates to one or both Apps, which updates may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, “Updates”). Updates may also modify or delete in their entirety certain features and functionality. You agree that Sandwich has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality within the Apps. Based on your Device settings, when your Device is connected to the internet either: (a) the Apps will automatically download and install available Updates; or (b) you may receive notice of or be prompted to download and install available Updates. You agree to promptly download and install all Updates and acknowledge and agree that the Apps or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the Apps and be subject to all terms and conditions of this EULA. For the avoidance of doubt, Updates do not include features or functionality or content made available via in-App purchases, and such features or functionality or content will only be downloaded and installed if you choose to make such in-app purchase.
12. Collection and Use of Information
You acknowledge that when you download, install, or use the Apps, Sandwich may use automatic means to collect information about your Device and about your use of the Apps. All information that Sandwich collects through or in connection with the Apps is subject to our Privacy Policy, available at https://in.theater/privacy, which explains how we collect, use, and share that information. Sandwich’s service provider, Portable Intelligence Inc., operates Theater Accounts, Sandwich’s databases, and analytics on Sandwich’s behalf, as described in the Privacy Policy. The Apps may provide you with opportunities to share information about yourself with others. Any information you provide to others through the App(s) will be given directly to such third parties and will be governed by their respective privacy policies. We do not control any such third party’s tracking technologies or how they may collect or use your information. You also may be required to provide certain information about yourself to the provider of your Platform Account as a condition to creating or maintaining that account, and any such information will be governed by that provider’s privacy policy. Information you provide to Sandwich in connection with your Theater Account or purchases made directly through Sandwich is subject to our Privacy Policy.
13. Disclaimers
- YOUR USE OF THE APPS IS AT YOUR OWN RISK. THE APPS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SANDWICH NOR ANY PERSON ASSOCIATED WITH SANDWICH MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APPS. WITHOUT LIMITING THE FOREGOING, NEITHER SANDWICH NOR ANYONE ASSOCIATED WITH SANDWICH REPRESENTS OR WARRANTS THAT THE APPS WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE APPS OR THE SERVERS THAT MAKE THE APPS AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE APPS MEET YOUR NEEDS OR EXPECTATIONS.
- TO THE FULLEST EXTENT PROVIDED BY LAW, SANDWICH HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
- THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
14. Limitation of Liability
- TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SANDWICH, ITS AFFILIATES, OR THEIR LICENSORS, LICENSEES, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APPS OR ANY CONTENT ON THE APPS, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
- TO THE FULLEST EXTENT PROVIDED BY LAW, THE TOTAL LIABILITY OF SANDWICH, ITS AFFILIATES, AND THEIR LICENSORS AND SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APPS OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE APPS AND PAID CONTENT, WHETHER DIRECTLY TO SANDWICH OR THROUGH AN APP STORE, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
- The limitation of liability set out above does not apply to liability resulting from our gross negligence, willful misconduct, or fraud.
- THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
15. Indemnification
You agree to defend, indemnify, and hold harmless Sandwich, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this EULA, your violation of any law or any third party’s rights, or Your Content.
16. Term and Termination
- The “Term” of this EULA commences when you download an App and will continue in effect until terminated by you or Sandwich as set forth in this Section.
- You may terminate this EULA at any time by deleting the Apps and all copies thereof from your Device(s), and you may delete your Theater Account at any time.
- Sandwich may suspend or terminate this EULA and your access to the Apps if you materially breach this EULA, if you use the Apps unlawfully or to harm others or the Apps, or if required by law or by a platform operator. Where reasonably possible, Sandwich will tell you why and give you a chance to fix the problem first, unless the issue is serious or urgent.
- Sandwich may discontinue either App, or any Paid Content or feature, by giving you at least 60 days’ notice, or shorter notice only where required by law, a rights holder, or a platform operator.
- If Sandwich terminates this EULA or your Theater Account other than for your material breach, or discontinues either App or Paid Content you paid for before you have had a reasonable opportunity to use it, Sandwich will give you, at your option, a prorated refund or a credit for the unused portion of the applicable Fees or Content Fees. Where an app store processed your payment, the refund may be issued through that app store. If Sandwich terminates this EULA for your material breach, you are not entitled to a refund, except as required by law.
- Upon termination of this EULA: (i) all rights granted to you under this EULA will also terminate; (ii) you must cease all use of the Apps and delete all copies of the Apps from your Device(s); and (iii) Sandwich may disable your access to the Apps and, after giving you a reasonable opportunity to request a copy of your Theater Account information where feasible, may delete or de-identify your Theater Account and associated data as described in the Privacy Policy, except where Sandwich must keep it by law.
- Termination will not limit either party’s rights or remedies at law or in equity existing prior to termination. Unless otherwise stated, all obligations, representations and warranties under this EULA which are not, by the express terms of this EULA, fully to be performed during the Term, shall survive the termination or expiration of the EULA.
17. Amendment of EULA
Sandwich may update this EULA from time to time. If Sandwich makes a material change, it will give you at least 30 days’ notice before the change takes effect, by email to the address associated with your Theater Account (if you have one) and by notice in the Apps or at https://in.theater. Where your Device’s platform allows, Sandwich will ask you to actively accept the updated EULA (for example, by tapping “Agree”) before you continue using the Apps. If you do not agree to a material change, you may stop using the Apps before it takes effect and, if the change affects Paid Content you have not had a reasonable opportunity to use, request a refund or credit as described in the Term and Termination section. Changes that are not material, such as corrections, clarifications, or updated contact details, take effect when posted, and the “Last Updated” date above will change. A change is material if it significantly reduces your rights or increases your obligations. Changes required by law or by a platform operator may take effect sooner where necessary, and Sandwich will tell you when that happens.
18. Platform Terms
- Apple. If you download an App from the Apple App Store, you and Sandwich acknowledge that this EULA is between you and Sandwich only, and not with Apple Inc. (“Apple”). Sandwich, not Apple, is solely responsible for the Apps and their content. Your license to use an App obtained from the Apple App Store is limited to use on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Apps. If an App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for that App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Apps, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Sandwich’s responsibility. Sandwich, not Apple, is responsible for addressing any claims by you or any third party relating to the Apps or your possession and use of them, including (i) product liability claims; (ii) any claim that an App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. If a third party claims that an App or your possession and use of it infringes that third party’s intellectual property rights, Sandwich, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms of agreement when using the Apps. Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
- Other stores. If you obtain an App or Paid Content through the Meta Horizon Store, Google Play (including on Android XR and Galaxy XR devices), the PICO Store, Steam, or another store, that store operator’s terms also apply to your download, purchase, payment, and refund. Those operators are not parties to this EULA and are not responsible for the Apps or their content, unless their terms say otherwise. If this EULA conflicts with a store’s mandatory terms about payments, refunds, or distribution, the store’s terms control on that point.
19. Governing Law
All matters relating to the Apps and this EULA, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction), subject to the section titled Consumers Outside the United States.
20. Mandatory Choice of Forum
Each party irrevocably and unconditionally agrees that it will not commence any action, litigation, or proceeding of any kind (an “Action”) whatsoever against any other party in any way arising out of or relating to this EULA or the Apps or the subject matter hereof or the relationship between the parties, including, but not limited to, any claim based in contract, equity, tort, fraud, or statutory claims, in any forum other than the state and federal courts sitting in Los Angeles County, California, and any appellate court from any thereof. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of such courts and agrees to bring any such Action only in the appropriate state or federal courts sitting in Los Angeles County, California, and waives any objection that it may now or hereafter have to the jurisdiction or venue of such courts or that any Action has been brought in an inconvenient forum. Each party agrees that a final judgment in any such action, litigation, or proceeding is conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. This section is subject to the section titled Consumers Outside the United States.
21. Consumers Outside the United States
If you are a consumer living in the European Union, the United Kingdom, or another place whose laws give you consumer protections that cannot be waived by contract, nothing in this EULA removes those protections. You keep the benefit of the mandatory consumer laws of your country of residence, and you may bring a claim in the courts of your country of residence if that law gives you that right. Nothing in this EULA limits any right you have to contact a consumer protection authority or to use an official dispute resolution scheme available to you.
22. Attorneys’ Fees
Each party will pay its own attorneys’ fees and costs in connection with any Action, except where applicable law or a court awards fees to a prevailing consumer, or where a court finds that a claim or defense was brought in bad faith. Nothing in this EULA requires you to pay Sandwich’s attorneys’ fees merely because Sandwich prevails.
23. Entire Agreement
This EULA and our Privacy Policy constitute the entire agreement between you and Sandwich with respect to the Apps and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Apps.
24. Severability; Waiver; Assignment
If any provision of this EULA is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Sandwich’s failure to enforce any right or provision of this EULA is not a waiver of that right or provision. You may not assign or transfer this EULA without Sandwich’s prior written consent. Sandwich may assign this EULA to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided your rights under this EULA are not reduced.
